Reseller Agreement
Terms and conditions governing your use of the PikaSim Reseller API and wallet services.

1. Agreement Overview
This Reseller Agreement ("Agreement") is a binding contract between you ("Reseller") and PikaSim ("Company") governing your access to and use of the PikaSim Reseller API, wallet system, and eSIM distribution services. By submitting a reseller application, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy. Your acceptance, including the date, time, and version of this Agreement, is recorded when you apply.
2. Application, Vetting, and Account Information
- Application required: Reseller accounts are created by application. You must provide accurate and complete information, including your contact name, business name (if applicable), a working email address, your country, and a description of how you intend to distribute eSIMs.
- Review and approval: PikaSim reviews each application and may approve it, reject it, or request additional information, at its sole discretion. New accounts start in pending status; deposits and API access are enabled only after approval.
- Business service: Unlike PikaSim's retail service, which operates without accounts or email collection, the reseller program is a business-to-business service. We collect and retain the business contact information you provide for vetting, compliance, and operational communication. It is handled in accordance with our Privacy Policy and is not sold or shared except as required by law.
- Keep information current: You must keep your contact information accurate and remain reachable at the email address you provide. Material misstatements in your application are grounds for rejection or immediate termination.
3. Eligibility and Compliance
- Legal entity or individual: You must be a legal entity or an individual of legal age in your jurisdiction to enter into binding agreements.
- Sanctions compliance: You represent and warrant that you are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive sanctions administered by the United States (OFAC), European Union, United Nations, United Kingdom, or Hong Kong. This includes, but is not limited to: Iran, North Korea, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions. You shall not sell, distribute, or supply eSIMs, directly or indirectly, to any person or entity targeted by, or located in a territory subject to, such sanctions.
- Anti-money laundering: You shall not use PikaSim reseller services to facilitate money laundering, terrorist financing, or other financial crimes.
- Anti-bribery: You shall comply with all applicable anti-corruption and anti-bribery laws, and shall not offer or provide any payment or benefit with the improper intent of obtaining a business advantage in connection with this Agreement.
- Export controls: You are responsible for ensuring that your distribution of eSIMs complies with all applicable export control laws and regulations.
- Territorial restrictions: PikaSim may notify you of countries or regions where distribution of some or all products is restricted under its upstream network agreements. You must comply with any such notice.
- Local regulations: You are solely responsible for compliance with all laws and regulations applicable to your business in your jurisdiction, including but not limited to telecommunications regulations, consumer protection laws, and data privacy requirements.
4. Wallet, Deposits, and Pricing
- Wallet balance: Your wallet balance represents prepaid credits denominated in USD cents. Wallet credits are non-transferable.
- Deposits: You may fund your wallet via credit card (Stripe) or cryptocurrency (Bitcoin, Lightning, Monero, USDT) once your account is approved. Deposits are final as payments; unused balance may later be withdrawn as described below.
- Pricing: Resellers receive a 10% discount off retail pricing for all packages. PikaSim reserves the right to adjust pricing at any time, including passing through upstream network operator price changes. Package prices are deducted from your wallet balance at the time of order.
- Withdrawal of wallet balance: Unused wallet balance may be withdrawn on request via a support ticket, subject to an account review (ledger reconciliation, deposit verification, and fraud screening). Withdrawals are paid on the rail the funds arrived on: card deposits are refunded to the original card via Stripe; crypto deposits are paid out in Bitcoin only (on-chain or Lightning), denominated in USD. Spent balance is not withdrawable; you may also use your balance to purchase eSIMs or request wallet credit for cancelled unused eSIMs.
- eSIM cancellation credits: Unused data eSIMs (not installed, zero data usage) may be eligible for cancellation via the API for a wallet credit of the wholesale cost. Cancellation is subject to verification with the upstream network operator; where the operator does not confirm the credit, the refund may be withheld pending manual review. Installed or activated eSIMs cannot be cancelled.
- Non-cancellable plans: Phone plans (voice + SMS + data) cannot be cancelled via the API; cancellation requests require a support ticket and manual review, and any refund is subject to the upstream network operator's approval and criteria. Certain plan types may not be cancellable at all, even if unused.
5. API Usage and Access
- API key security: Your API key is confidential. You are responsible for all activity that occurs under your key. Do not share, publish, or expose your API key.
- Rate limits: Reasonable rate limits apply. Excessive automated requests that degrade service may result in temporary throttling or suspension.
- IP whitelist: You may optionally configure an IP whitelist for additional security. If configured, only whitelisted IPs may use your API key.
- Availability: While we strive for high uptime, PikaSim does not guarantee 100% API availability. Service interruptions may occur for maintenance or unforeseen circumstances.
- Webhooks: If you configure webhook endpoints, you are responsible for maintaining their availability and handling delivery retries appropriately.
6. Acceptable Use and Fair Use
eSIMs distributed through the reseller program are intended to provide mobile connectivity to individual end-user consumer devices (phones, tablets, laptops). The following restrictions flow down from PikaSim's upstream network agreements and apply to you and to your end users:
- Device restrictions: eSIMs may not be used in routers, dongles, IoT devices, dedicated hotspot hardware, or other high-consumption equipment without PikaSim's prior written authorization.
- No traffic redistribution: eSIMs may not be used to redistribute, resell, or commercially exploit raw data traffic (for example, as proxy or VPN exit nodes, or for bandwidth resale).
- Usage patterns: Sustained usage patterns inconsistent with personal connectivity (for example, systematically exhausting data quotas in short cycles at scale) may be flagged as abnormal by upstream network operators.
- Fair Use Policy: Upstream network operators enforce fair use policies and may monitor usage and apply traffic restrictions, speed limits, usage time restrictions, or restrictions on specific applications or services. You must inform your end users that such fair use policies apply.
- Consequences: Where abnormal usage is detected, upstream operators may throttle, restrict, or suspend the affected eSIMs, and may adjust wholesale pricing or suspend service to PikaSim. PikaSim may in turn suspend the affected eSIMs or your account, and pass through any resulting pricing adjustments.
7. Reseller Obligations
- End-user support: You are responsible for providing first-line customer support to your end users. PikaSim provides B2B support to resellers only, not to resellers' customers.
- End-user terms: You must bind your end users to terms of use that are no less protective than the compliance, acceptable-use, and fair-use restrictions in this Agreement. You are responsible for your end users' use of eSIMs distributed through your platform.
- Accurate representation: You must not misrepresent PikaSim's services, coverage, speeds, or capabilities to your end users. Do not guarantee service levels that PikaSim does not guarantee.
- Branding: You may rebrand or white-label eSIMs sold through your platform. You may not represent yourself as PikaSim or imply an official partnership beyond being an authorized reseller.
- Prohibited uses: You shall not use the API to: facilitate fraud, circumvent sanctions, distribute eSIMs for illegal purposes, or engage in bulk abuse that degrades service for other users.
- Data protection: If you collect personal data from your end users, you are solely responsible for compliance with GDPR, CCPA, and other applicable data protection laws. PikaSim does not collect or process end-user personal data on your behalf.
8. Indemnification
You shall indemnify, defend, and hold harmless PikaSim and its officers, directors, and employees from and against any claims, losses, damages, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your breach of this Agreement; (b) the use or misuse of eSIMs distributed through your platform by you or your end users; (c) your violation of applicable law, including sanctions and export control laws; or (d) claims asserted against PikaSim by its upstream network operators resulting from your or your end users' acts or omissions.
9. Limitation of Liability
- Service "as is": The Reseller API and eSIM services are provided "AS IS" without warranty of any kind.
- Maximum liability: PikaSim's total liability to you shall not exceed the wallet balance or the amount paid in deposits over the preceding 30 days, whichever is less.
- No consequential damages: PikaSim shall not be liable for lost profits, lost revenue, business interruption, or any indirect or consequential damages arising from use of the reseller service.
- Network issues: PikaSim is not liable for carrier outages, coverage gaps, or network performance issues that affect end-user eSIM connectivity.
10. Suspension and Termination
- Application rejection: PikaSim may reject a reseller application at its sole discretion, before or after account creation.
- PikaSim may suspend or terminate your reseller access immediately and without notice if you: violate this Agreement, provided materially false application information, engage in prohibited activities, fail to comply with applicable laws, or if continued service poses a risk to PikaSim or other users.
- Effect of termination: Upon termination, you will lose access to your wallet and API. Any remaining wallet balance is forfeited if termination is due to your breach of this Agreement.
- Voluntary termination: You may stop using the service at any time. Remaining unused wallet balance may be withdrawn as described in Section 4, or used to purchase eSIMs until depleted.
11. Changes to This Agreement
PikaSim reserves the right to modify this Agreement at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the reseller service after changes constitutes acceptance of the modified terms.
12. Governing Law
This Agreement shall be governed by the laws of the State of Colorado, United States of America. Any disputes shall first be attempted to resolve informally through our support system, and if unresolved, through binding arbitration or courts of competent jurisdiction in Colorado, United States.
